ORGANIZATION STATUS

PREAMBLE

 We, founding Members,

Considering international laws and conventions protecting children and the vulnerable, seeing that children and vulnerable people are abandoned to themselves and lead a miserable life.

Noting with pain that most of these children do not even enjoy their fundamental rights, namely the right to education, to their nationality, paternity, etc.

 Aware of the problem of their integration into their families.

 Anxious to prepare a better future for them; we, members of *WORLD’S LIGHT ORGANIZATION*, WLO in acronym gathered in an Extraordinary General Assembly on 27.07.2022 freely decide to amend and adopt after amendment the statutes of our Organization.

CHAPTER 1: NAME, HEAD OFFICE, DURATION AND PURPOSE.

Article 1: A non-profit organization has been created called *WORLD, S LIGHT ORGANIZATION* (W.L.O) in acronym, A.S.B.L governed by the decree-law…………, establishing the organic framework of non-profit organizations and these statutes.

 Article2: The organization has its headquarters in Bujumbura. It can be transferred to any locality of the Republic of Burundi if two thirds of the General Assembly so decide.

 Article3: The organization was created for an indefinite period. It can be modified or discussed in advance by decision of the General Assembly taken by a two-thirds majority. Article4: The purpose of the organization is;

  1) Helping children to enjoy their fundamental right including;

 -Right to paternity

 -Right to education

2) Organize services of social and moral assistance to come to the aid of;

-Rejected children and orphans

 – Depression

 – Drugs

-Mental disabilities

 -Prostitutes

 3) Strengthen their capacities by making them able to fly on their own and to be competitive on the job market by creating a professional workshop.

 4) Encouragement and edification of children to experience moral awakening.

 CHAPTER II: MEMBERS, THEIR RIGHTS AND DUTIES

SECTION 1: MEMBERSHIP

 Article5: World, S Light Organization, W.L.O in acronym has four categories of members, namely founding members, associate members, sympathizing members and honorary members.

 Article 6: is a founding member, any natural person who has contributed to the creation of the association and participates in the first Constituent General Assembly.

Aricle7: is an adhering member, any natural person who adheres to these statutes according to the procedures provided for by these statutes and the internal regulations of the organization.

 Article 8: is an honorary member, any natural person or to whom the General Assembly has awarded this title recognition of his contribution to the achievement of the objectives of the organization.

Article 9: A sympathetic member is any natural or legal person who demonstrates the desire to contribute morally or materially to the achievement of the objectives of the organization and who is admitted as such by the General Assembly.

Article10: the founding members and the adherent members form the effective members.

 SECTION 2: LOSS OF MEMBERSHIP

 Article 11: A member of the organization can lose this quality;

 -by death

 -by voluntary resignation noted and approved by the General Assembly;

 -by exclusion pronounced by the General Assembly

 -by dissolution of the organization

 Article12: A full member may write to the President of the Executive Committee to announce his voluntary withdrawal from the Organization. However, he will not be able to claim reimbursement of contributions already paid.

 SECTION3: RIGHTS AND OBLIGATIONS OF MEMBERS

Article13: The rights of affective members are;

-access to all interventions and benefits of the organization

 -elect and be elected to any governing body of the organization;

– access any documentation concerning the activities and management of the organization,

-participate in ordinary and extraordinary meetings of the General Assembly

Article14: Any member of the organization of;

-pay contributions at the end of each month no later than the 10th of the following month

 -regularly participate in meetings and activities organized by the organization. Obtain from any attitude likely to compromise the interests of the organization, safeguard the goals pursued by the organization;

-respect the members, bodies, statutes and Internal Regulations of the organization;

– Defend the interests of the organization

CHAPTER V: DISCIPLINARY REGIME

 Article 15: any effective member undertakes to scrupulously respect the provisions of these statutes and the internal rules.

Article16: Depending on the seriousness of the fault committed by a member, the following sanctions may be imposed; warning, reprimand suspension and exclusion. Recourse to justice if necessary is brought on the initiative of the Executive Committee.

Article 17: Sanctions of reprimand, warning and suspension are within the competence of the Executive Committee Only the exclusion is decided by the General Assembly by an absolute majority of 2/3 of the votes expressed on the report of the Executive Committee.

CHAPTERIII: BODIES AND THEIR OPERATION

 Article 18: “WORLD, S LIGHT ORGANIZATION”, W.L.O in acronym is made up of three bodies below;

– The general Assembly

– The Executive Committee

 -The Supervisory Board.

Section1: General Assembly

Article 19: The General Assembly is the supreme body of the organization. It has the most extensive powers to perform all acts of interest to the organization. The decisions regularly taken by the General Assembly are binding for all.

Article 20: Sabot reserved to the General Assembly the questions relating to the following points;

 . Define the mission and purpose of the organization;

 . Adopt amendments to the Articles of Association and the Internal Rules;

. Recognize the quality of honorary member and sympathizing member,

 . Set the action plan and the program of activities;

 . Elect and approve members of all organs of the organization;

 . Approve the admission of new members and the exclusion of defaulting members;

. Dissolve the organization

 Article 21: The General Assembly meets ordinarily once a semester and as many times as necessary in extraordinary sessions when convened by the Chairman of the Executive Committee or, if he is unable to do so, when convened by the Vice-Chairman of the Executive Committee. The General Assembly can be convened, if necessary, on written request of 2/3 of the effective members addressed to the Legal Representative with a copy to the Minister having the approval of the ASBL in his missions

 Article 22: The General Assembly only meets validly if 2/3 of the effective members are present. If the quorum is not extinguished, for the second time, the meeting is validly held if at least half (1/2) of the effective members are present. In all cases, the decisions of the General Assembly are taken by an absolute majority of two thirds (2/3) of the effective members present.  No member may hold more than one proxy in the event of representation

Article 23: The General Assembly is convened at least 15 days before the date scheduled for the meeting. The convocation must specify the agenda, the time, the date and the place. However, any question not appearing on the agenda can only be raised in the miscellaneous section and be part of the agenda of the next General Meeting, if applicable.

Article 24: The deliberations of the general assembly are recorded in the minutes signed by the President and Secretary and kept in the archives at the headquarters of the organization Section 2: Of the Executive Committee

Article 25: The organization is managed by an executive committee of (03) members elected by the General Assembly among the effective members for a mandate of 5 years renewable. Article 26: The Executive Committee includes:

-A President and Legal Representative

-A Vice-President and Alternate Legal Representative

-A Secretary Treasurer

 Article 27: The Executive Committee is the day-to-day management body of the organization. He has the most extensive powers of management of the administration of the organization.

 Article 28: The executive committee meets once a quarter in ordinary sessions and as many times as necessary when both of its members are present.

 Article 29: The President of the Executive Committee represents the organization in all acts of civil life and is vested with all powers to this effect. He has the same capacity to act before public authorities, third parties and the courts.

 Article 30: The President convenes and chairs meetings of the Executive Committee. He sees to the execution of the decisions of the general meeting. It provides for all the acts required by the good administration of the organization.

 Article 31: The vice-president assists the president and replaces him in case of impediment.

 Article 32: The secretary-treasurer maintains the list of members, writes the minutes and reports of the meetings of the executive committee and the general assembly which he signs jointly with the President, collects the contributions of the members of the organization and holds a related register. He prepares the documents and accounting documents which he signs with the Chairman.

 SECTION III: SUPERVISORY BOARD

Article 33: The supervisory board is composed of three members including a President, a vicepresident and a secretary elected outside the executive committee by the general assembly among the effective members of the organization for a renewable five-year term.

 Article 34: the supervisory board has the task of controlling the execution of the decisions and recommendations of the general meeting, the material and financial management of the organization’s assets. He reports on his mission to the General Assembly at each of its sessions.

Article 35: it meets once a quarter in ordinary sessions and as many times as necessary in extraordinary sessions on the call of its president or, in his absence, on the call of its vice president.

CHAPTER IV: RESOURCES OF THE A.S.B.L

 Article 36: The resources of the A.S.B.L come from;

 . Membership dues;

 . Donations and legacies

. Income-generating activities

 . Grants and more

 Article 37: the funds of the A.S.B.L are deposited in the account of the A.S.B.L “W.L.O. in one of the banks in Burundi.

CHAPTER VI: MODIFICATION OF STATUTES, LIQUIDATION AND DISSOLUTION

Article 38: These statutes may be amended by the general meeting convened for this purpose. The modification decision is taken by an absolute majority of 2/3 of the full members present at the General Assembly.

 Article 39: The General Assembly, ruling by a majority of 2/3 of the effective members present, may pronounce the dissolution of the organization. The dissolution decision appoints the liquidator(s) and determines their powers as well as the liquidation deadlines.

Article 40: After clearing the liabilities, the net assets of the organization will be transferred to another organization pursuing the same objectives as the dissolved organization.

CHAPTER VII: FINAL AND TRANSITIONAL PROVISIONS

 Article 41: The organization adopts internal rules which supplement these statutes and are approved by the General Assembly.

Article 42: The “WORLD, S LIGHT ORGANIZATION” W.L.O.L in acronym, undertakes to subscribe to and respect the guide to the ethics and ethics of non-profit associations.

Article 43: In the event of a conflict arising within the organization and after an amicable settlement has been tried, the General Assembly meets to set it up. A commission is composed of members elected from among the full members. And having the task of resolving the conflict.  If the commission fails and, therefore, the conflict persists, the party who feels aggrieved, after an attempt to resolve the said conflict by the Ministry in charge of the management of NPOs, seizes the competent courts.

Article 44: For all that are not the present statutes and internal regulations, the members of the organization refer to the laws and regulations in force in Burundi.

Article 45: These statutes come into force on the day of the taking note by the competent administrative authority of the decisions resulting from the Extraordinary General Assembly held on 08/27/2022.
